1. Introduction and Acceptance of Terms
Welcome to IPWeb.
IPWeb (“we”, “us”, “our”) is a Western Australian business providing website design, website hosting, domain name registration and related online services.
These Terms of Use and Service (“Terms”) govern your access to and use of our website, customer portal, products and services.
By placing an order, registering an account, accepting a quotation or purchasing or using our services, you agree to be bound by these Terms and any additional terms expressly applicable to your service.
These Terms should be read alongside our:
- Privacy Policy, which explains how we collect, use and protect personal information.
- Hosting Acceptable Use Policy (AUP), which sets out permitted and prohibited uses of our hosting and related infrastructure.
- Domain Registration Policies, including the applicable policies of domain name registries, registrars and regulatory bodies.
- Service Orders and Quotations, which specify the services, features, prices and any particular conditions agreed with you.
Where an individual order or quotation expressly varies these Terms, the agreed variation will prevail for that service, subject to applicable law.
If you purchase services on behalf of a company, organisation or another person, you confirm that you have authority to enter into this agreement on their behalf.
If you do not agree to these Terms, you must not purchase or use our services.
2. Our Services
IPWeb provides services that may include:
- Website design and development.
- Managed WordPress website hosting.
- Domain name registration, renewal and management.
- Website maintenance, updates and technical support.
- Website migrations, email hosting and related services.
- Other website and internet-related products described on our website or in an agreed quotation.
The features, specifications, resources and inclusions of each service are those advertised or agreed at the time of purchase.
We may use external suppliers, contractors, data centres, network operators, software vendors and other third-party service providers to deliver some or all of our services.
You acknowledge that these arrangements may involve infrastructure, systems and services not owned or directly controlled by IPWeb.
We remain responsible for our obligations under applicable Australian law, but cannot guarantee the uninterrupted availability or performance of independent third-party systems.
3. Customer Accounts and Responsibilities
You agree to:
- Provide accurate, complete and current account, contact and billing information.
- Maintain the confidentiality of your account credentials and passwords.
- Use reasonable security measures, including strong passwords and multifactor authentication where available.
- Notify us promptly if you suspect unauthorised access to your account or services.
- Ensure that all content, software and activities associated with your services comply with applicable laws and our policies.
- Maintain current contact information so that important billing, renewal, security and service notifications can reach you.
You are responsible for activities undertaken through your account by persons you authorise to access it.
We are not responsible for unauthorised account activity arising from circumstances outside our reasonable control, except to the extent that applicable law requires otherwise.
We may request identity verification or additional account information where reasonably necessary to prevent fraud, maintain security or comply with legal obligations.
4. Website Hosting Services
4.1 Hosting infrastructure
Our hosting services may be delivered using third-party data centres, network infrastructure, hardware, software and technical services.
Although we take reasonable steps to provide reliable and secure hosting, the nature of internet-based services means that interruptions may occasionally occur.
Potential causes include:
- Planned or emergency maintenance.
- Hardware, software or network failures.
- Power outages and connectivity problems.
- Cyberattacks, including distributed denial-of-service (DDoS) attacks.
- Security incidents, malware or unauthorised access.
- Third-party supplier failures.
- Domain name or DNS configuration problems.
- Events beyond our reasonable control.
Unless an expressly agreed service level agreement provides otherwise, we do not guarantee 100% uptime, uninterrupted availability or error-free operation.
We will take reasonable steps to address interruptions affecting services for which we are responsible.
4.2 Hosting resources and fair usage
Hosting plans may be subject to resource limits, including storage, bandwidth, CPU, memory, email sending and other technical restrictions.
Services described as “unlimited” or “unmetered”, where offered, remain subject to reasonable technical limitations, fair usage and our Hosting Acceptable Use Policy.
Where usage materially exceeds the resources reasonably expected for the purchased plan, we may contact you to discuss reducing usage, resolving technical issues or upgrading to a more suitable service.
We may apply proportionate restrictions where necessary to maintain the security, stability or availability of the infrastructure.
4.3 Website performance
Website performance depends on several factors, including website design, third-party plugins, databases, external scripts, visitor traffic and internet connectivity.
We do not guarantee specific website loading times, search engine rankings, visitor numbers, sales, enquiries or commercial results unless expressly agreed in writing.
4.4 Hosting locations
Server and data storage locations may vary according to the purchased hosting plan and the infrastructure arrangements used to deliver it.
Where a particular server location or data residency requirement has been expressly agreed, we will supply the service in accordance with that agreement, subject to applicable law.
5. Website Backups and Data Protection
We recognise the importance of protecting website files, databases and customer information.
Where a hosting plan includes scheduled backups, we will take reasonable steps to provide the advertised backup service.
However, backup processes and restoration systems can occasionally fail, and individual backups may become unavailable, incomplete or corrupted.
Unless expressly guaranteed in a separate written agreement, we do not guarantee that every backup will complete successfully or that every file, database or item of information can be restored.
Customers are strongly encouraged to maintain their own independent, regularly tested backups of important website data.
You are responsible for retaining copies of information that is essential to your business, particularly before making major website changes or terminating services.
Any backup retention periods, recovery features and additional backup services will be those specified in the relevant hosting plan or service agreement.
We will take reasonable care in performing backup and restoration services and will not exclude liabilities that cannot legally be excluded.
6. Website Security
IPWeb uses reasonable technical and organisational measures designed to protect the services we manage.
Depending on the hosting plan, these may include firewalls, malware protection, SSL certificates, system updates and other security controls.
However, no internet-connected system can be guaranteed completely secure.
You acknowledge that:
- Cyberattacks and newly discovered vulnerabilities may occur despite reasonable precautions.
- Third-party software, plugins and themes may contain security vulnerabilities.
- Security tools cannot prevent every malicious attack or unauthorised intrusion.
- Compromised passwords, insecure customer-installed software and unsafe account practices may expose websites to security risks.
Unless included in an agreed managed service, you are responsible for maintaining the security and updates of software you install or manage independently.
Where reasonably necessary to protect our infrastructure, other customers or affected systems, we may temporarily restrict access to a website, application or service presenting a material security risk.
We will endeavour to notify affected customers and restore normal access when the risk has been appropriately addressed.
Our handling of personal information is further explained in our separate Privacy Policy.
7. Managed WordPress Hosting
Where you purchase a Managed WordPress Hosting service, the specific management features included will be those described in your hosting plan.
These may include WordPress updates, security measures, backup services, technical assistance and hosting-related maintenance.
Unless expressly included in your plan, managed hosting does not automatically include:
- Unlimited website design changes.
- Website content writing or updates.
- Custom programming or development.
- Repair of all third-party plugin or theme problems.
- Search engine optimisation or digital marketing.
- Recovery from problems caused by customer modifications or incompatible software.
- Payment of third-party software licence or subscription fees.
Additional work may incur charges, which will be disclosed and agreed before the work is undertaken.
We will take reasonable care when performing managed updates or maintenance. However, third-party updates may introduce incompatibilities or unexpected problems beyond our reasonable control.
8. Website Design and Development
8.1 Project scope
Website design and development services are provided according to the scope, specifications, deliverables, pricing and timeframes outlined in an accepted quotation, proposal or service order.
Unless specifically included, additional pages, features, revisions, integrations or substantial changes to the agreed design may incur additional charges.
We will advise you of additional charges and obtain your approval before undertaking chargeable work outside the agreed scope.
8.2 Customer content and cooperation
You are responsible for supplying the text, images, logos, business information and other materials reasonably required to complete your website, unless content creation has been included in your agreement.
You confirm that you own or have permission to use any materials you provide to us.
You grant IPWeb permission to use, reproduce and modify those materials as reasonably necessary to deliver the agreed services.
Project timeframes may be affected by delays in receiving required information, approvals or customer feedback.
8.3 Design approvals and revisions
We may ask you to review and approve designs, layouts and website functionality at agreed project stages.
Any included design revisions will be specified in your quotation or service order.
Once you approve a completed stage, subsequent changes outside the agreed scope may be treated as additional work.
We will give you a reasonable opportunity to identify and request correction of defects or departures from agreed specifications.
8.4 Completion and website launch
A website is considered delivered when the agreed work has been substantially completed and made available for your review, handover or publication.
Minor outstanding corrections will be addressed in accordance with the agreed scope and your statutory rights.
Additional work requested after completion, including future design changes and content updates, may be charged separately.
8.5 Ownership and intellectual property
Upon payment of all amounts properly due for the relevant project, you will receive ownership of the original, custom-created final design materials expressly identified as transferable in your quotation or service agreement.
This transfer does not include:
- WordPress or other open-source software.
- Third-party themes, plugins, fonts, stock images or licensed assets.
- Proprietary tools, reusable templates, frameworks or code owned or licensed by IPWeb.
- Software or materials subject to separate third-party licensing conditions.
Where IPWeb-owned reusable components are incorporated into your website, we grant you a non-exclusive, ongoing licence to use those components as part of the delivered website, subject to any agreed limitations.
Third-party materials remain subject to their applicable licences.
Unless expressly agreed, transferring a completed website does not include ownership of our hosting infrastructure, management tools or proprietary systems.
You are free to move your website to another compatible hosting provider, subject to applicable licensing restrictions and payment of any separately agreed migration charges.
9. Domain Name Registration and Management
9.1 Domain registrations
IPWeb may arrange domain name registrations, renewals, transfers and related services through accredited domain registrars and registration service providers.
Domain names are registered subject to availability, eligibility requirements and the rules of the relevant registry and registrar.
Payment for a requested domain name does not guarantee successful registration.
A registration is confirmed only when the relevant registry has successfully allocated the domain name.
9.2 Domain name ownership and control
Domain names are generally granted as renewable licences rather than outright property ownership.
Where we register a domain name on your behalf, the domain will be registered in the name of the eligible customer or other registrant expressly authorised by you, in accordance with applicable registry rules.
We do not claim ownership of domain names properly registered to our customers.
9.3 Domain registration policies
By requesting a domain registration, renewal or transfer, you agree to comply with all applicable domain registration rules and policies, including:
- auDA (.au Domain Administration): Policies governing Australian domain names, including .com.au, .net.au and .au.
- ICANN (Internet Corporation for Assigned Names and Numbers): Applicable policies governing generic top-level domains such as .com, .net and .org.
- Registry and Registrar Policies: Any additional eligibility, registration, renewal, verification, transfer, dispute resolution and cancellation requirements applicable to the selected domain extension.
Relevant policy information is available from:
- auDA: https://www.auda.org.au
- ICANN: https://www.icann.org
Applicable registrar or registry registration agreements will be identified or made available to you as required when ordering the relevant domain service.
You are responsible for ensuring that your chosen domain name does not infringe another party’s intellectual property rights.
9.4 Domain eligibility and verification
Certain domain extensions require applicants to meet specific eligibility requirements.
For example, Australian domain registrations may require a valid Australian business connection, identification details or other evidence of eligibility.
You agree to provide accurate registration information and maintain eligibility throughout the registration period.
A registry or registrar may suspend, refuse, transfer or cancel a domain registration where permitted or required under its applicable policies.
9.5 Domain renewals and expiry
You are responsible for ensuring your domain registration is renewed before expiry.
Where automatic renewal is offered and selected, it is subject to successful payment and continued eligibility.
We may issue renewal reminders as a courtesy but cannot guarantee their delivery or receipt.
Failure to renew a domain may result in interruption of website and email services, additional recovery fees or permanent loss of the domain.
If a domain expires, recovery may be possible only within the applicable registry’s recovery periods and may involve additional charges.
We are not responsible for domain loss caused by inaccurate customer details, failure to complete required verification or failure to pay renewal fees on time, except where the loss results from our failure to exercise reasonable care and skill or another liability that cannot legally be excluded.
9.6 Domain transfers
Customers may request the transfer of eligible domain names to another provider in accordance with applicable registry and registrar policies.
We will reasonably cooperate with legitimate transfer requests and will not impose transfer restrictions inconsistent with applicable rules.
10. Payments, Billing and Renewals
10.1 Pricing and payment
All fees are payable in the currency specified at checkout or on the relevant invoice.
Australian GST will be included or identified where applicable.
You agree to pay the charges disclosed for your selected services, including applicable registration, renewal and additional service fees.
Unless otherwise agreed, invoices must be paid by their stated due dates.
10.2 Recurring services
Hosting, domain registration and other subscription services may be offered on monthly, annual or other recurring billing periods.
Where automatic renewal applies, this will be disclosed when you order the service.
Renewal charges will be based on the applicable disclosed renewal price.
We may revise prices for future renewal periods by providing reasonable advance notice, ordinarily at least 30 days where practicable.
If you do not accept a price increase, you may cancel the affected service before the increased price takes effect, subject to any existing fixed-term commitments.
10.3 Overdue payments
If payment remains outstanding after its due date, we may issue reminders and request payment.
Where payment remains overdue after reasonable notice, we may suspend the affected service until the outstanding balance is resolved.
We may suspend a service more urgently where there is evidence of payment fraud or another serious risk.
Where service suspension continues and payment remains outstanding, we may terminate the affected service after giving reasonable notice, normally allowing at least 30 days after the original payment due date.
Domain expiry and registry deadlines may operate independently of these periods.
Service suspension does not extinguish properly incurred debts.
10.4 Payment disputes
If you believe an invoice is incorrect, please contact us promptly.
We will investigate genuine billing disputes in good faith.
Where reasonably practicable, we will not suspend an otherwise compliant service solely because of an amount genuinely disputed in good faith while that dispute is being assessed, provided undisputed charges are paid.
11. Cancellations and Refunds
11.1 Customer cancellations
You may request cancellation of a service through our customer portal or another authorised contact method.
Cancellation normally takes effect at the end of the current paid service period unless an earlier termination date is agreed or required by law.
To avoid renewal charges, cancellation requests should be submitted before the next renewal is processed.
11.2 Prepaid hosting services
Where you cancel a prepaid hosting service for convenience before the end of its purchased term, an automatic refund for the unused portion is not provided unless expressly included in the purchased plan or required by law.
Where IPWeb terminates a prepaid service for reasons not attributable to your breach, we will provide an appropriate refund for the unused portion where required by law or otherwise appropriate in the circumstances.
11.3 Domain registration fees
Domain registration, renewal and transfer transactions may be irreversible once processed by the relevant registry.
Consequently, change-of-mind refunds are generally unavailable after successful processing.
This does not affect any rights you may have under Australian Consumer Law.
11.4 Website design payments
Website design deposits, progress payments and cancellation charges will be governed by the accepted quotation or project agreement.
If you cancel a project after work has commenced, we may charge for work reasonably performed and costs properly incurred up to the cancellation date, including disclosed non-recoverable third-party expenses.
Any refund or cancellation charge will take account of work completed, costs incurred, amounts already paid and your statutory rights.
11.5 Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies consumer guarantees or other rights that cannot lawfully be excluded.
Where services fail to meet applicable consumer guarantees, you may be entitled to remedies including re-performance, cancellation, a refund or compensation, depending on the circumstances.
12. Acceptable Use of Services
All customers must comply with our separate Hosting Acceptable Use Policy (AUP).
Our services must not be used for unlawful, fraudulent, abusive or harmful activities.
Without limiting the AUP, prohibited activities may include:
- Hosting or distributing malware, phishing content or malicious software.
- Sending unsolicited bulk commercial communications.
- Conducting unauthorised network attacks, scanning or intrusion attempts.
- Hosting content that unlawfully infringes intellectual property rights.
- Engaging in scams, fraud or other illegal activities.
- Deliberately disrupting servers, networks or other customers.
- Using resources in a manner that creates a material security or stability risk.
We may investigate suspected breaches and take reasonable, proportionate action, including requesting corrective measures, restricting services or suspending access.
Where practicable, we will provide notice and an opportunity to remedy a breach.
Immediate suspension may occur where reasonably necessary to prevent serious harm, address security threats or comply with legal obligations.
13. Third-Party Products and Services
Some IPWeb services rely on third-party products and systems, including:
- Hosting infrastructure and data centres.
- Domain registries and registrars.
- WordPress, themes and plugins.
- SSL certificate authorities.
- Email delivery systems.
- Payment gateways.
- External website integrations and software services.
These services may be subject to separate licensing conditions, technical limitations and service availability.
We do not control every aspect of their operation and cannot guarantee that third-party products will remain available, compatible or unchanged.
Where a third-party provider changes or discontinues a feature, we will take reasonable steps to assess the effect on affected IPWeb services and identify a suitable response.
Any material change to an agreed service will be handled in accordance with these Terms, the applicable service agreement and Australian law.
14. Limitation of Liability
This section applies to the maximum extent permitted by law and is subject to your non-excludable legal rights.
14.1 No exclusion of statutory rights
Nothing in these Terms excludes, restricts or modifies:
- Consumer guarantees under the Australian Consumer Law.
- Rights or remedies that cannot legally be excluded or limited.
- Liability that applicable law prohibits us from excluding or limiting.
14.2 Internet and hosting risks
Subject to clause 14.1, IPWeb is not responsible for losses arising solely from events outside our reasonable control, including independent telecommunications failures, third-party infrastructure disruptions, malicious attacks or external service failures, where we have otherwise met our contractual and legal obligations.
We do not accept responsibility for interruptions, data loss or security incidents caused by customer actions, unauthorised customer modifications or third-party software independently installed or managed by customers, except to the extent that IPWeb contributed to the loss or applicable law requires otherwise.
14.3 Commercial and consequential losses
To the extent permitted by law, and subject to clause 14.1, IPWeb excludes liability for indirect or consequential commercial losses, including lost profits, anticipated savings, revenue, business opportunities or reputational damage.
This exclusion does not apply where such liability cannot lawfully be excluded, including compensation required under applicable consumer guarantees.
14.4 Liability cap
To the extent permitted by law, IPWeb’s aggregate liability arising from a particular service is limited to:
- For a recurring service, the total fees paid or payable for the affected service during the 12 months immediately preceding the event giving rise to the claim; or
- For a one-off website design or development project, the fees paid or payable for that project.
This limitation does not apply to liabilities that cannot legally be limited.
14.5 Permitted remedies
Where applicable law permits a limitation of liability for a particular failure to comply with a consumer guarantee, our liability may, where fair and reasonable and permitted by law, be limited to supplying the relevant services again or paying the reasonable cost of having the services supplied again.
14.6 Mitigation of loss
Both parties agree to take reasonable steps to minimise losses arising from service failures, security incidents or contractual disputes.
15. Customer Content and Indemnification
You retain ownership of the content you supply or publish through your website or hosting account.
You are responsible for ensuring that your content and activities comply with applicable laws and do not infringe third-party rights.
To the extent permitted by law, you agree to indemnify IPWeb against reasonable third-party claims, liabilities, losses and costs arising directly from:
- Content supplied or published by you that infringes another person’s lawful rights.
- Your unlawful use of our services.
- Your material breach of these Terms or the Hosting Acceptable Use Policy.
This indemnity applies only to the extent the relevant loss is caused by your acts or omissions and does not extend to losses caused by IPWeb’s negligence, breach of contract or unlawful conduct.
We will take reasonable steps to notify you of relevant claims and avoid unnecessary costs.
16. Service Suspension and Termination
We may suspend or terminate a service where reasonably necessary because of:
- Serious or repeated breaches of these Terms or the Hosting Acceptable Use Policy.
- Non-payment after the applicable notice period.
- Fraudulent or unlawful activity.
- A material threat to server security, network stability or other customers.
- A legal, regulatory, registry or court requirement.
- Other circumstances in which continuing the service would create a serious and demonstrable risk.
Where appropriate and practicable, we will provide notice and an opportunity to resolve the issue before termination.
16.1 Data following termination
Following termination, access to hosting services, website files, databases and email accounts may cease.
Data may be removed from our systems after termination in accordance with applicable retention arrangements and legal obligations.
Where reasonably practicable, we will provide customers with an opportunity to retrieve their available website data before permanent deletion, subject to security and legal restrictions.
Customers should independently retain any information they wish to preserve.
16.2 Service transfers
We will reasonably cooperate with customers wishing to transfer their websites or eligible domain names to another provider.
Additional technical migration work may be subject to separately disclosed charges.
Termination does not affect accrued payment obligations or rights that by their nature survive termination.
17. Changes to Services and These Terms
We may update these Terms to reflect changes in our services, business operations, technology or applicable laws.
Material changes will ordinarily be communicated with at least 30 days’ notice before taking effect.
Changes required urgently for legal compliance, security or to address serious operational risks may take effect sooner, with notice provided as soon as reasonably practicable.
Material changes adversely affecting an existing fixed-term service will not ordinarily take effect until renewal unless legally required, agreed with you or reasonably necessary to address an urgent issue.
If a material change adversely affects a recurring service and you do not accept it, you may cancel the affected service before the change takes effect.
Where appropriate and required by law, a proportionate refund of unused prepaid fees will be available.
The version of these Terms applicable to a dispute will be determined by the terms in force at the relevant time, subject to validly agreed subsequent changes.
18. Events Beyond Our Reasonable Control
Neither party will be liable for a delay or failure to perform contractual obligations to the extent caused by events beyond that party’s reasonable control, except for payment obligations already due and liabilities that cannot legally be excluded.
Such events may include:
- Natural disasters, fires, floods or severe weather.
- Widespread telecommunications or electricity failures.
- Major cyberattacks or internet infrastructure disruptions.
- Government restrictions or emergency directions.
- Industrial disruptions or other extraordinary events.
The affected party must take reasonable steps to minimise disruption and resume performance as soon as reasonably practicable.
Where a disruption materially prevents an affected service from being supplied for an extended period, either party may request termination of that service.
Any resulting refund or remedy will be determined in accordance with the circumstances and applicable law.
19. Privacy and Personal Information
We respect the privacy of our customers and website visitors.
Our collection, handling, storage and disclosure of personal information are explained in our separate Privacy Policy.
Customer information may be shared with relevant service providers where reasonably necessary to deliver purchased services, process payments, register domain names, provide technical support or meet legal obligations.
Additional information about these arrangements, including any applicable overseas disclosures, will be provided in our Privacy Policy.
20. Complaints and Dispute Resolution
If you experience a problem with our services, please contact us through our customer portal.
We will make reasonable efforts to investigate complaints and resolve disputes promptly and fairly.
Where a dispute cannot be resolved directly, either party may pursue available mediation, consumer protection processes or other lawful dispute resolution procedures.
Nothing in these Terms prevents either party from exercising statutory rights, making a complaint to an appropriate authority or seeking relief from a court or tribunal with jurisdiction.
21. Governing Law
These Terms are governed by the laws of Western Australia and applicable Commonwealth laws of Australia.
Subject to any mandatory rights or protections under applicable law, the courts and tribunals of Western Australia will have jurisdiction over disputes arising from these Terms.
Nothing in this clause limits any right to bring proceedings in another jurisdiction where such a right cannot lawfully be excluded.
22. General Provisions
22.1 Entire agreement
These Terms, together with any accepted quotation, service order and expressly incorporated policies, constitute the agreement between IPWeb and the customer concerning the relevant services.
22.2 Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be ineffective to the extent required, without affecting the remaining provisions where they can continue to operate lawfully.
22.3 No waiver
Failure by either party to enforce a contractual right does not automatically constitute a waiver of that right.
22.4 Assignment and service arrangements
We may engage subcontractors and third-party providers to assist with delivering our services.
Any transfer of our contractual rights or obligations must comply with applicable law and must not materially reduce your rights under the agreement.
